Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of our websites and mobile applications (“Sites“) by a User. The terms “we“, “us“, “our” and “CPS” refer to Connect Publisher Solutions, LLC (dba iCampusTimes, College Promotions Network), a Florida corporation, or its affiliates. The term “User” refers to a person or persons who have used the Sites who have not otherwise entered into a separately binding contract with CPS (or its affiliates) for services. By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree with these Terms, do not access or use the Sites.

Basic Terms

You are responsible for your use of the Sites. You may use the Sites only in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations.

The Sites that CPS provides are always evolving and the form and nature of the Sites that CPS provides may change from time to time without prior notice to you. In addition, CPS may stop (permanently or temporarily) providing the Sites (or any features within the Sites) to you or to users generally and may not be able to provide you with prior notice.

The Sites include advertisements, which may be targeted to the Content or information on the Sites, queries made through the Sites, or other information. You agree that CPS and its third party providers and partners may place such advertising on the Sites or in connection with the display of Content or information from the Sites.

Privacy

Any information that you provide to CPS is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Sites you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United States and/or other countries for storage, processing and use by CPS.

Content on the Sites

All Content is the sole responsibility of the person who originated such Content. We may not monitor or control the Content posted via the Sites and, we cannot take responsibility for such Content. Any use or reliance on any Content or materials posted via the Sites or obtained by you through the Sites is at your own risk.

We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Sites or endorse any opinions expressed via the Sites. You understand that by using the Sites, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. Under no circumstances will CPS be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Sites or broadcast elsewhere.

Security and Storage of Your Anonymous Information

CPS uses reasonable precautions to keep anonymous User information secure. We use a variety of security technologies and procedures to help protect anonymous user information and patterns from unauthorized access, use, or disclosure. However, due to the open nature of communication through the Internet, we cannot guarantee that communications between you and Site, and the Site and you, will be free from unauthorized access by third parties. Users of the Site do so at their own risk. We cannot guarantee the security of any information disclosed online.

Your Rights

CPS gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by CPS as part of the Sites. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Sites as provided by CPS, in the manner permitted by these Terms.

CPS Rights

All right, title, and interest in and to the Sites (excluding Content provided by users) are and will remain the exclusive property of CPS and its licensors. The Sites are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms gives you a right to use the CPS name or any of the CPS trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding CPS, or the Sites is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.

User Submitted Content

You are invited to make, share or submit your own, original contributions to the Sites. These Terms set out the rules governing how you may do so and how CPS may use your contribution. Your contribution may include text, photographs, graphics, video or audio.

If you submit your contribution to the Site you must allow the CPS to use the material in your contribution in any way it may reasonably choose on a free-of-charge basis in any media throughout the world. Any contributions you make may be moderated by the CPS which means they may be reviewed, edited and/or removed. CPS reserves the right to remove any of your contributions if we believe that they do not comply with the Terms.

You grant CPS the right to change or edit the materials in your contribution for operational and editorial reasons. CPS may also share your contribution with trusted third parties, for instance with other users of CPS services or, in the case of news-related material, CPS may share your contribution with its overseas partners (for instance reputable foreign news broadcasters).

Any copyright in your contribution will remain with you and this permission is not exclusive, so you can continue to use the material you contribute in any way including allowing others to use it.

You confirm that your contribution is your own original work, is not defamatory or unlawful and does not infringe anyone else’s rights (including privacy rights) and that it complies with the Terms. You also confirm that your contribution is made in your personal (rather than business) capacity and that such contribution does not unfairly promote or further any business activities and has not been contributed for commercial gain. You also confirm that you have the consent of anyone who is identifiable in your contribution or the consent of their parent/guardian if they are under 16.

We normally show your name with your contribution, unless you request otherwise, but for operational reasons this is not always possible.

CPS may need to contact you for administrative or verification purposes in relation to your contribution, or in relation to particular projects.

Please do not endanger yourself or others, take any unnecessary risks or break any laws when creating any content you may share with CPS.

As part of your contribution, CPS may ask you to provide some personal information. Disclosure of this information shall be subject to terms set out in CPS’s Privacy Policy. CPS will keep your personal information secure and will only use it for the purposes specified in the Privacy Policy. All personal information held by CPS will be held in accordance with the terms of applicable data protection laws.

If you do not want to grant CPS permission to use your contributions in accordance with the Terms, please do not share with or submit them to the Site.

Restrictions on Content and Use of the Sites

We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Sites and to terminate users. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of CPS, its users and the public.

We encourage and permit broad sharing of Content via Share tools contained within Sites. When sharing, you may not intentionally alter/ modify Content for the purposes of deception or malice.

Copyright Policy

CPS respects the intellectual property rights of others and expects users of the Sites to do the same. All Content contained within the Home tab of this app is copyright material of the publication that originated said Content. All Content contained within the Offers tab of this app belongs to the business that originated said Content.

The Sites may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by CPS of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CPS AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SITES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT CPS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Waiver and Severability

The failure of CPS to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

Controlling Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the State of California without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Sites will be brought solely in San Diego County, California, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. If you are accepting these Terms on behalf of a United States federal government entity that is legally unable to accept the controlling law, jurisdiction or venue clauses above, then those clauses do not apply to you but instead these Terms and any action related thereto will be will be governed by the laws of the United States of America (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of California (excluding choice of law).

Entire Agreement

These Terms and our Privacy Policy are the entire and exclusive agreement between CPS and you regarding the Sites (excluding any services for which you have a separate agreement with CPS that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between CPS and you regarding the Sites. Other than members of the group of companies of which CPS is the parent, and companies that are party to CPS’s Affiliate Agreement, no other person or company will be third party beneficiaries to the Terms.

Changes to the Terms

CPS reserves the right to modify its Terms at any time. When we do so, we will also revise the “last updated” date at the top of the Terms. You are solely responsible for checking these Terms for updates. By continuing to access or use the Sites after those revisions become effective, you agree to be bound by the revised Terms.
